My business clients are mostly families and small business owners who need the entity done right and tied into their estate plan. I form the LLC, write the operating agreement, and make sure your trust holds your membership interest, so the business does not end up in probate.
What I handle:
- Forming Oregon LLCs, including single-member LLCs and LLCs that hold rental property
- Operating agreements written for the people actually involved: spouses, parents and children, and business partners
- Choosing how the LLC is taxed (disregarded entity, partnership, or S corporation), with the elections prepared and filed correctly
- Moving real property into the LLC: the deed, title, and the lender and insurance questions that come with the transfer
- Assigning your membership interest to your trust, with succession terms so the business passes the way you intend
- What happens to the business when an owner dies: buy-sell terms, redemption of a deceased owner’s interest, and coordination with the estate or trust
